1. Introduction and Acceptance

Welcome to Frems Webapp (“the Platform” or “Frems”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between FR3MS, located at Calle 10 de Agosto, Numero 10, Guayaquil, Ecuador (“we”, “us”, “our”), and you (“the User”, “the Creator”, or “the Subscriber”).

By registering, accessing, or using Frems Webapp, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Service Description

Frems allows Creators to build landing pages, manage multimedia content, engage with their community, and monetize digital or physical products and subscriptions. Subscribers can access this content and make purchases.

3. Accounts and Registration

3.1. Eligibility

You must be at least 18 years old to register as a Creator and monetize content. Minors may use the platform only under a legal guardian’s supervision.

3.2. Creator Verification

To ensure community safety, Frems reserves the right to:

• Conduct manual identity verification processes.
• Require linking active social media accounts.
• Review/approve content before or after publication.
• Perform due diligence to confirm Creator authenticity.

4. Economic Model and Payments

4.1. Platform Fees

Registration on Frems is free. Frems charges a 5.5% commission on each transaction (subscriptions, one-time purchases, or “Pay What You Want”). The fee is automatically deducted before transferring funds to the Creator.

4.2. Payment Processing

Payments are processed by secure third-party gateways. Creators must connect a valid bank account or payment method. Frems does not store complete banking details.

4.3. Taxes

Creators are solely responsible for declaring and paying applicable taxes in their country of residence.

4.4. Refund Policy

Due to the digital nature of the content, purchases are generally non-refundable, unless otherwise required by law or approved by Frems in cases of technical issues.

5. User Content and Intellectual Property

5.1. Content Ownership

Creators retain all intellectual property rights to the content they upload.

5.2. License to Frems

By uploading content, you grant Frems a non-exclusive, royalty-free, transferable license to use the content for platform operation, improvement, and promotion.

5.3. Prohibited Content

Uploading any of the following is strictly prohibited:

• Illegal, fraudulent, or criminal content.
• Copyright or trademark-infringing material.
• Hate speech, harassment, or explicit violence.
• Illegal pornography or non-consensual sexual content.

Frems may remove content and suspend accounts without prior notice.

6. Community Tools and Conduct

Frems provides chat tools and social integrations. You must use them responsibly. We may moderate or disable channels used for harassment, spam, or illegal activities.

7. Disclaimer of Warranties

Frems is provided “as is” without warranties. We do not guarantee uninterrupted service and are not responsible for the actions or offerings of Creators.

8. Modifications

Frems may update these Terms at any time. Continued use after changes signifies acceptance of the revised Terms.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of Ecuador. Any unresolved disputes fall under the exclusive jurisdiction of the courts of Guayaquil, Ecuador.
